End-User Licence Agreement

Draft — not yet in force. Two things must be settled before this ships with a release, each marked [decide] below: the governing law and the support address. Glancet’s EULA (../../glancet/glancet/EULA.md) is the model and names the Republic of Moldova and its author; this draft assumes the same.

By installing or using Spalt (“the Software”), you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License granted

Arch Rainey, trading as Spalt, grants you a personal, non-exclusive, non-transferable licence to install and use the Software on any Mac you own or control, for personal or commercial purposes. While the Software is in beta it is free of charge; this licence does not promise that any later version will be.

2. Restrictions

You may not:

  • redistribute, resell, rent, lease, or sublicense the Software;
  • modify, reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits it despite this limitation;
  • remove or alter any copyright, trademark, or other proprietary notices.

3. What the Software does on your Mac

Stated plainly, so you can decide whether you are comfortable with it:

  • It runs on your Mac and holds your data there. Spalt has no accounts of its own and no server holding your repositories, settings or notes. Your repositories are read and written with git on your machine; review notes and the operation log are stored inside each repository’s .git folder; settings, projects and cached lists live in ~/Library/Application Support/com.arthurhlopin.spalt; failure and crash logs live in ~/Library/Logs/com.arthurhlopin.spalt, with secrets masked before they are written.
  • It talks to the services you connect, with your credentials, when you ask. GitHub (pull requests, checks, Actions, deployments) and Atlassian Cloud (Jira, Confluence) are contacted only after you sign in, and only for what the screen you are looking at shows or the button you pressed does. Tokens are stored in the macOS Keychain and never leave the Rust core of the app.
  • It sends code to an AI provider only if you turn that on, per repository. AI assistance is off by default. Enabling it for a repository shows exactly what would leave the machine and which account it goes to, and asks once. Before any send, files matched by .gitignore, .env files, key and certificate material and secret-shaped tokens are stripped. What is sent, and to whom, is governed by your agreement with that provider (Anthropic, OpenAI, OpenRouter, a local Ollama, …), not by this one.
  • It runs shells and coding agents you start. The embedded terminal runs your login shell and the agent CLIs you already have installed, in the repository’s directory, under your user. Spalt does not install, sign in to, or configure those tools beyond the profile directories it keeps apart for you.
  • It checks for updates. Once a day the Software asks the Spalt update server whether a newer version exists and asks you before installing one. The request carries the app’s version and what any HTTP request carries; Settings → About switches the daily check off.
  • Nothing else leaves your Mac. No analytics, no crash reports sent anywhere, no telemetry. The problem log’s Copy report puts a masked report on your clipboard for you to paste where you choose.

4. Third-party services

Your use of GitHub, Atlassian and any AI provider through the Software is governed by your agreements with those companies. Spalt is not affiliated with, endorsed by, or sponsored by GitHub, Atlassian, Anthropic, OpenAI, or The Pierre Computer Company. Product names are the trademarks of their respective owners and are used only to identify the software Spalt works with.

5. Third-party software

The Software includes third-party components under their own licences, listed with their licence texts in THIRD-PARTY.md, which ships inside the application. The review surface is rendered by @pierre/diffs and @pierre/trees by The Pierre Computer Company under the Apache License 2.0.

6. Beta software

The Software is pre-release. It may contain defects, change without notice, and stop being distributed. Because it writes to git repositories, keep your own backups; every destructive operation asks first and every ref-moving operation is journaled, but no software can promise that a bug will never reach your data.

7. No warranty

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPALT OR ITS COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM OR IN CONNECTION WITH THE SOFTWARE OR ITS USE.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so parts of sections 7 and 8 may not apply to you.

9. Termination

This licence ends automatically if you breach it. You may end it at any time by moving the app to the Trash. Settings, cached lists and logs stay in the folders named in §3 until you remove them; the spalt Keychain items are removed by signing out in the app.

10. Changes

Spalt may update this Agreement for future versions. The version distributed with a release governs that release.

11. Governing law

This Agreement is governed by the laws of [decide: the Republic of Moldova], without regard to its conflict-of-law provisions. If you are a consumer, this does not deprive you of the protection of the mandatory consumer laws of the country you live in.
